Puskar/AP WASHINGTON and NEW YORK -- Comcast (CMCSA) sought to rebut critics of its planned $45.2 billion takeover of Time Warner Cable (TWC), arguing that newcomers such as Google and Apple would ensure competition in both Internet and video markets. In a 175-page filing with the Federal Communications Commission that coincides with the formal launch of the controversial deal, Comcast argued that either all or key areas of its and Time Warner Cable's businesses compete with an "array of sophisticated companies with national or even global footprints." The U.S. Department of Justice will conduct the antitrust review and the FCC will examine whether the deal is in the public interest. Comcast has pledged to divest some cable subscribers so the combined company would serve just under 30 percent of the U.S. pay television video market. The company said it would serve between 20 and 40 percent of the U.S. broadband subscribers. MoffettNathanson research estimates the company would cover about 33 percent of the high-speed Internet market. Opponents have raised concerns that the combined company will have too much power over what Americans can watch on television and do online, becoming a powerful buyer of Web and pay-TV content. The cable companies are expected to face those concerns on Wednesday when their officials, Comcast's executive vice president David Cohen and Time Warner Cable's finance chief Arthur Minson, testify in Congress. In Tuesday's filing, Comcast argues that such concerns are unwarranted, especially given the growing competitiveness of both the video and internet markets. Time Warner (NYSE: TWX ) owns HBO. While it is smaller than Starz by subscriber count, the network has a near-flawless record in its recent original productions. Titles such as Game of Thrones, Girls, and True Blood have been tremendous successes in attracting and retaining subscribers. Time Warner trades at 14.12 times forward earnings, but includes many other factors -- from film studio Warner Brothers to theme parks. Showtime parent CBS (NYSE: CBS ) trades at just over 15 times earnings. All three networks have attractive economics as they have pushed original content that, though costly up front, creates better margins over time and saves the company from some difficult negotiations with other content providers. Recently, the company ended its contract with both Netflix and Disney, startling some investors and analysts but ultimately proving a wise decision as it freed up cash to put toward in-house production.

CBS continues to offer high-quality entertainment content. As evidenced by its first-quarter results, both its Showtime and CBS network channel audiences have grown on a year-over-year basis. One cause for concern is the increased competition from Time Warner�� HBO. Additionally, it remains to be seen if nascent content producers such as�Netflix will provide formidable competition for Showtime. Still, CBS is trading at a reasonable price-to-equity ratio, has a manageable debt level, and pays a modest dividend. CBS is probably due for a slight pullback, as it recently set a new 52-week high ��however, it should continue to OUTPERFORM for the rest of the year.

DTV has jumped almost 30% this year, on par with peers like Dish Network (DISH) and Comcast (CMCSA). One reason for DTV’s outperformance has been its strong international business and its satisfied customers. During the most recent quarter, DirecTV’s churn rate fell to 1.61% — its lowest quarterly churn in more than 6 years.
